Terms of Service
The agreement that governs access to Paprel — accounting workflows, embedded deployment, App Connect, OAuth, MCP, and connected-client usage.
1.Introduction
Welcome to paprel.com ("we," "our," or "us"), operated by Nexara Global Pte. Ltd., a company incorporated in Singapore. These Terms and Conditions ("Terms") govern your access to and use of our accounting software-as-a-service platform, its features, functionality, and related services (collectively, the "Service") provided through our websites, including paprel.com and paprel.com (collectively, the "Sites"). By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Service.
2.Key Services
Limitations: Please refer to our pricing page to understand the specific limitations associated with each subscription plan. These limitations may include features such as the number of staff members, clients, and priority support availability. All limitations are subject to change based on future updates to our plans and services.
Custom Development and Integrations: We offer API access for custom integrations. For custom development services, please contact us directly at [email protected].
By using Paprel Payments, which is powered by Stripe, you acknowledge that certain information you provide will be shared with and processed by Stripe Payments Singapore Pte. Ltd. ("Stripe"). This is necessary for enabling Paprel to offer and support the payment functionality. In doing so, you also agree to be bound by Stripe's Connect Account Agreement and Privacy Policy: https://stripe.com/legal/connect-account
You further acknowledge and consent that Paprel may access and use relevant information you've provided to Stripe as part of delivering this feature. Such information will be handled in line with our Terms, and the Paprel Payments offering shall be considered part of the overall "Services" provided under these Terms.
3.Account Management
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Account access may be restricted or terminated if you engage in any of the following activities:
3A.Connected Apps, OAuth, MCP, and AI-Enabled Clients
The Service may allow you to connect third-party applications, AI-enabled tools, Model Context Protocol ("MCP") clients, automation systems, or other external services through OAuth, App Connect, API access, or similar authorization flows ("Connected Apps"). You are responsible for reviewing the permissions, scopes, and actions requested by any Connected App before authorizing access.
If you administer an organisation, workspace, or team account, you are responsible for configuring appropriate user roles, staff permissions, approval processes, connected-client access, and revocation procedures before enabling Connected Apps. You are also responsible for removing or updating access when users, employees, contractors, systems, or third-party clients no longer require it.
When you authorize a Connected App, you instruct us to make the approved account data, tools, or functionality available to that Connected App within the scope of your authorization. Connected Apps may be operated by third parties and may be subject to their own terms, privacy policies, security practices, and data handling rules. Paprel is not responsible for the acts, omissions, outputs, prompts, recommendations, or downstream processing of third-party Connected Apps.
Some Connected Apps may be able to request or initiate accounting workflows, draft records, reports, journal information, or other actions depending on the scopes granted and the features enabled for your account. You remain responsible for reviewing, approving, posting, sending, submitting, or relying on any accounting action, draft, output, or recommendation produced through a Connected App. Paprel does not provide financial, tax, legal, audit, or investment advice through MCP or AI-enabled integrations.
We may maintain activity records, authorization details, tool-call metadata, and audit logs for Connected Apps to support security, troubleshooting, compliance, and review. You may revoke connected access where supported, but revocation may not affect data already accessed or processed by a third-party Connected App.
4.Subscription, Payment & Refunds
We offer three subscription tiers: Starter, Growth, and Scale. Detailed plans are on https://paprel.com/pricing.
Payment Methods: Payments via Credit Card or PayPal (Stripe). Fees are typically billed in advance (monthly/yearly) and inclusive of taxes unless stated otherwise.
Evaluations and trials: Access to Paprel may be provided through a business-software trial or a guided evaluation, depending on the product and use case.
Monthly Subscription Refunds: Available only within 30 days of your first monthly payment. Canceling during a cycle stops future charges but no refund for the current month.
Yearly Subscription Refunds: Available only within 30 days of initial payment. No prorated refunds provided thereafter.

5.Data Privacy & Compliance

We store and process data in compliance with the General Data Protection Regulation (GDPR), Singapore's Personal Data Protection Act 2012 (PDPA), and other applicable laws. We process data lawfully and provide you access to request corrections or deletions.
6.Customer Support
Email support (Mon-Fri, 9:00 AM - 5:00 PM SGT). We aim to respond within 24 business hours.
7.Service Changes
Minor updates occur without notice. Major updates requiring downtime receive 7 days' notice via email.
8.Limitation of Liability
Subject to applicable law, paprel.com and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or use, arising out of or in connection with these Terms or the use of the Service, even if paprel.com has been advised of the possibility of such damages.
9.Indemnification
You agree to indemnify and hold harmless paprel.com from any claims or expenses (including attorneys' fees) arising from your violation of these Terms or your use of the Service.
10.Termination
paprel.com may suspend or terminate your account without notice if you violate these Terms. You may terminate your account via settings. Upon termination, access is revoked and data may be deleted.
11.Force Majeure
Neither party is liable for failure or delay due to events beyond reasonable control (natural disasters, terrorism, internet issues, etc.).
12.Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. You submit to the exclusive jurisdiction of the courts of Singapore.
13.Dispute Resolution
Parties agree to attempt informal negotiation first. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
14.Entire Agreement
These Terms, with our Privacy Policy, constitute the entire agreement between you and paprel.com.
15.Changes to Terms
paprel.com reserves the right to modify these Terms. Continued use constitutes acceptance.

17.Language
These Terms are originally written in English. The English version shall prevail in case of any inconsistency.
